Pre-incorporation notice. Venoly is run by its two founders and operated from Emmen, the Netherlands (the co-founder is based in the United States), while the legal entity (a Dutch B.V.) is being incorporated. Contracts and liabilities referenced in these documents are entered into by the founder personally until incorporation completes, at which point they transfer to Venoly B.V. by novation without action required from you. Where the documents refer to Venoly B.V., that name should be read as "Venoly (operating as a sole proprietorship pending incorporation)" until the entity is registered with the Dutch Chamber of Commerce (KvK).
1. Scope
These Developer & Creator Terms apply if you (a) register a bot, app, or integration in the Venoly developer portal, (b) publish a listing in the Venoly Marketplace (policies, themes, emoji packs, stickers, server templates, soundboards, bot apps, AI personas), or (c) consume any Venoly API, webhook, or OAuth endpoint with credentials issued by us.
They supplement — and where they conflict, govern — the consumer-facing Terms of Service for the activities they describe.
2. App Registration
Every app must have a registered owner who is identifiable to Venoly (real name + verifiable email at minimum). You are responsible for the conduct of any team member you grant access to. We may require additional verification for apps that request elevated scopes (messages.read, server.manage, users.email, etc.).
App tokens are credentials. Treat them with at least the care you give your own login password. Leaked tokens must be rotated immediately and reported to security@venoly.nl within 24 hours of discovery.
3. Rate Limits & Fair Use
API calls are subject to per-app and per-route rate limits. We publish the current limits in the developer docs. Sustained traffic in excess of the published limits, or repeated bursts that materially affect platform performance, may result in throttling, scope downgrade, or app suspension.
Bypassing rate limits with multiple apps owned by the same author, or with multiple user-token rotations, is treated as a Terms of Service violation.
4. User Data — Use & Storage
You may collect, process, and retain user data only insofar as it is necessary to provide the feature your users opted in to. Specifically:
- You may not sell user data to any third party.
- You may not use Venoly-derived data to populate marketing lists, ad audiences, or lead-gen systems.
- You must honor user data-deletion requests within 30 days of receipt.
- You must store Venoly user data in jurisdictions that provide an adequate level of protection (EEA, UK, jurisdictions covered by an EU adequacy decision, or your own SCC-backed transfer arrangement).
- Your own privacy notice must be published and accessible from your app's listing page before installation.
5. AI Training Restrictions
You may not use Venoly user content — messages, voice, video, profile, or server metadata — to train, fine-tune, or evaluate any machine-learning model, including large-language models, voice cloning models, or image-generation models, without explicit written authorization from Venoly and case-by-case consent from the affected users.
This restriction applies regardless of whether the user content was technically public on Venoly at the time of access.
6. Security Obligations
You must:
- Encrypt user data at rest and in transit using current industry-standard ciphers.
- Apply security patches to your dependencies in a timely manner.
- Implement reasonable access controls for any administrative interface to your app.
- Maintain audit logs of any access to Venoly-derived data sufficient to investigate a breach.
- Notify security@venoly.nl within 72 hours of discovering a personal data breach that affects Venoly users (Art. 33 GDPR analogue).
7. Monetization & Marketplace
Marketplace listings may be monetized through Venoly's Stripe Connect integration. The current platform fee is 5% of gross transaction value, in addition to Stripe's processing fees. Reduced fees may apply to verified creators per the published Creator Program schedule.
You retain ownership of your listing content. You grant Venoly a worldwide, non-exclusive, royalty-free license to host, distribute, and display your listing for the purpose of operating the Marketplace.
Refunds for marketplace purchases follow the Refund Policy. Sellers are responsible for honoring EU consumer-rights timeframes and for issuing refunds for undelivered or materially mis-described items.
8. Branding & Attribution
You may use the "Works with Venoly" badge in materials describing your app. You may not use the Venoly name, logo, or trade dress in a way that suggests official endorsement, partnership, or affiliation that has not been agreed in writing.
See the Brand Usage Guidelines.
9. Verification & Quality Bar
Apps may apply for the Verified Developer badge once they meet the quality bar (clear privacy notice, working support contact, no open trust-and-safety incidents, no third-party data sales). Verification is at Venoly's sole discretion and may be revoked.
10. Takedown & Suspension
We may suspend or remove an app, listing, or developer account for: clear violations of these Terms, AUP violations facilitated by the app, security incidents that present ongoing risk to users, repeated user complaints with unresolved investigation outcomes, or legal/regulatory order.
You will be notified of the reason except where notice would frustrate an ongoing investigation. You may appeal under the same process as user-account appeals.
11. Indemnity
You agree to indemnify Venoly against third-party claims arising from your app's violation of law, infringement of intellectual property, or breach of these Developer Terms, to the maximum extent permitted by Dutch law.
12. Changes
We may update these Developer Terms with 30 days' advance notice for material changes. Continued use of the developer portal or API after the effective date constitutes acceptance.
